IMPORTANT NOTICE: Please read these Terms and Conditions (“Terms”) carefully. By accessing, browsing, downloading, installing, registering for or using the HealthPort website, mobile application or any related services (collectively, the “Platform”), you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Parties and binding agreement

1.1 Who we are. HealthPort is a digital health and wellness platform operated by the HealthPort team (“HealthPort”, “we”, “us”, “our”). The Platform provides tools to help individuals manage, organize and understand their personal health information.

1.2 Binding contract. These Terms constitute a legally binding agreement between you and HealthPort.

1.3 Who we are. These Terms should be read together with our Privacy Policy (published on the Platform). The Privacy Policy is incorporated by reference into these Terms.

1.4 Updates to Terms. We may update these Terms from time to time. The “Last Updated” date will change accordingly. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

2. Definitions

2.1 “Account” means the user account created by you on the Platform.

2.2 “AI Features” means any features that use automated processing and/or machine learning to help generate summaries, timelines, structured notes, explanations or insights based on the information you provide (including “AI Health Assistant”, “AI Summaries”, “Auto‑Summaries” and similar).

2.3 “Health Data” means information relating to your health and wellness, including medical reports, prescriptions, diagnoses, lab results, vitals, symptoms, visit notes, medications, allergies, imaging reports, discharge summaries and similar.

2.4 “Third‑Party Providers” means independent third parties such as doctors, specialists, hospitals, clinics, laboratories, diagnostic centres, pharmacies, caregivers, ambulance providers, payment gateways, cloud providers, analytics providers, AI service providers and other third parties that may be referenced, integrated or linked through the Platform.

2.5 “User Content” means any information you submit, upload, transmit, record, import, store or otherwise make available through the Platform (including Health Data, voice recordings, transcripts, images, documents, notes and messages).

3. Eligibility and user representations

3.1 Age and capacity. You represent that you are at least 18 years old and competent to contract under Indian law. If you are using the Platform for a child or a person for whom you are a lawful guardian/caregiver, you represent that you have the authority to do so and to provide the necessary consents and permissions.

3.2 Accurate information. You agree to provide accurate, complete and up-to-date information and to update it as needed.

3.3 Your responsibility for your device and access. You are responsible for the security of your device(s), login credentials and all activity under your Account.

4. Scope of services provided by HealthPort

4.1 Purpose. HealthPort is designed to help individuals organise and access a unified view of their health and wellness information, create timelines and summaries, set reminders and share information with relevant people or providers when needed.

4.2 Service availability and changes. We may add, remove, suspend or change features at any time. We do not guarantee any specific feature will always be available.

4.3 No verification duty. We are not responsible for verifying the authenticity, accuracy, completeness or clinical correctness of User Content or information obtained from Third‑Party Providers.

5. Medical disclaimer and emergency warning

5.1 Not a medical service provider. HealthPort is a technology platform. We do not provide medical care, medical diagnosis or medical treatment. We do not practice medicine, pharmacy or any licensed profession.

5.2 No doctor–patient relationship. Use of the Platform does not create a doctor–patient relationship between you and HealthPort or between you and any Third‑Party Provider (unless you separately create such relationship directly with that provider). This is consistent with common “find a provider” platform positioning which emphasises informational assistance rather than medical advice.

5.3 AI Features are informational support only. Any AI‑generated output is provided to help you understand or organise information and to prepare for conversations with healthcare professionals. AI Features are designed to support-not replace-clinical care and are not intended for diagnosis or treatment. The Platform does not make or support any medical decisions based on AI-generated outputs. Users should not rely on these outputs for health decisions and must consult a qualified healthcare professional for medical advice, diagnosis or treatment

5.4 Emergencies. The Platform must not be used for emergency medical situations. If you believe you may have a medical emergency (for yourself or someone else), contact local emergency services immediately (for example, dial 112 in India) and/or go to the nearest hospital

6. Visit Management and reminders

6.1 Scheduling support only. Visit Management and scheduling features are organisational tools. You are responsible for confirming appointment details directly with the relevant provider.

6.2 Reminder limitations. Reminders (medications, follow-ups, appointments, check-ins) are provided on a best‑efforts basis and may be delayed, not delivered or impacted by device settings, network connectivity, battery optimisation, OS restrictions or notification permissions.

6.3 No liability for missed events. HealthPort is not liable for missed appointments, missed doses, delayed follow-ups or any outcomes resulting from reliance on reminders or notifications.

7. Find a Doctor feature

7.1 Directory and guidance (no booking). “Find a Doctor” helps you search for nearby doctors/specialists and provides guidance such as call prompts and directions/location. HealthPort does not book appointments on your behalf with hospitals/clinics, unless explicitly stated otherwise within the Platform for a particular provider.

7.2 No endorsement. Search results, listings or prominence are not endorsements, recommendations or guarantees of quality.

7.3 No appointment guarantee; third‑party cancellations. We do not guarantee that you will receive a confirmed appointment or that a provider will be available at a particular time; providers may cancel or reschedule. This is consistent with common directory/appointment platform approaches which disclaim appointment guarantees and liability for provider no‑shows or cancellations.

7.4 Third‑party medical services. Any medical services you receive are provided by independent providers, not by HealthPort. HealthPort is not responsible for treatment quality, negligence, misconduct, fees charged by providers or outcomes of care.

8. Voice transcription, recordings and visit summaries

8.1 User-controlled feature. If enabled, HealthPort may capture audio through your device microphone to transcribe and summarise conversations, such as a doctor visit discussion.

8.2 Consent and legal compliance. You are solely responsible for:
(a) informing all participants that recording/transcription is taking place;
(b) obtaining any required consent; and
(c) complying with all applicable laws, clinic/hospital policies and ethical requirements.

HealthPort does not provide legal advice on recording consent requirements.

8.3 Accuracy limitations. Transcripts and summaries may be incomplete, inaccurate or contextually incorrect due to background noise, accents, overlapping speech, medical terminology or model limitations. You should review and correct before relying on them.

8.4 No clinical documentation guarantee. Visit summaries are not guaranteed to be complete clinical records and may not include all clinically relevant details.

9. AI Health Assistant and AI summaries

9.1 Nature of AI output. AI output may include simplified explanations, structured summaries, timelines, potential questions to ask your doctor, medication check prompts or organisational insights based on what you provide.

9.2 Not a substitute for professional judgement. You must not use AI output as a substitute for professional medical advice. Seek professional advice for diagnosis, treatment, medication changes and urgent care decisions. This aligns with the “support, not replace” framing used in health-focused AI experiences.

9.3 User responsibility to verify. You are responsible for verifying any AI output with qualified professionals before acting on it, particularly for medications, allergies, pregnancy, chronic conditions, paediatric care, mental health crises or surgical decisions.

9.4 Medication and interaction checks. If the Platform includes medication interaction prompts, they may be incomplete and must not replace pharmacist/doctor review.

9.5 Third‑party AI providers. Some AI Features may be delivered using Third‑Party Providers (including AI model providers). We are not responsible for independent third‑party outages or failures, subject to applicable law.

10. Family member management

10.1 Separate profiles. The Platform may allow you to create and manage profiles for family members.

10.2 Authority and consent. You represent that you have the authority to manage the family member’s data (e.g., as parent, guardian, caregiver or authorised representative) and to provide necessary consents.

10.3 Risk and confidentiality. You are responsible for controlling who can access each family profile on your device and within the Account.

11. Permissions and device access (camera, microphone, storage, location, notifications)

11.1 Permissions are feature-dependent. Certain features require access to device services, for example:
(a) Microphone – voice transcription and visit summaries;
(b) Camera/Photos – scanning or uploading medical documents, prescriptions, reports, profile photo;
(c) Files/Storage – uploading and storing reports and records;
(d) Location – “Find a Doctor” nearby search and navigation guidance;
(e) Notifications – reminders and alerts;
(f) Phone/Call – contacting doctors, clinics, hospitals, labs, pharmacies, caregivers or support directly from the Platform;

11.2 User control. You can enable/disable permissions via your device settings. If you deny or revoke permissions, some features may not function.

11.3 No scanning beyond your actions. As a baseline privacy expectation for record-upload features, the Platform should only access files/images you explicitly select for upload (and not scan unrelated files). This reflects common permission disclosure patterns for health record apps.

12. User Content, licences and prohibited conduct

12.1 Ownership. You retain ownership of your User Content, subject to the rights granted below.

12.2 Licence to operate the Platform. You grant HealthPort a limited, worldwide, royalty‑free licence to host, store, process, reproduce and display your User Content solely to operate, maintain, secure and provide the Platform and features you request (including generating timelines and summaries and enabling sharing at your direction).

12.3 Sensitive information. You should not upload or share information that you do not have the right to share (including someone else’s medical records without authorisation).

12.4 Prohibited conduct. You agree not to:
(a) use the Platform for unlawful purposes;
(b) interfere with the Platform’s security;
(c) upload malware or harmful code;
(d) impersonate others;
(e) harass or defame any person;
(f) attempt unauthorised access to accounts or systems.

13. Third‑party services, links and content

13.1 Third‑party sites and services. The Platform may link to or integrate Third‑Party Providers. These are not under our control.

13.2 No third‑party liability. HealthPort is not responsible for third‑party services, content, privacy practices, availability, negligence, malpractice, pricing, refunds or outcomes, except to the extent required by applicable law. This includes (without limitation) doctors and hospitals you contact, labs and pharmacies you use and external apps or websites.

13.3 Your dealings are with third parties. Any transaction or interaction with a Third‑Party Provider is solely between you and that Third‑Party Provider.

14. Suspension, termination and deletion

14.1 Termination by you. You may stop using the Platform at any time. You may request Account deletion via the controls in the Platform or by contacting us (see “Contact”).

14.2 Termination by us. We may suspend or terminate access if we believe you violated these Terms, created risk or used the Platform unlawfully.

14.3 Effect of termination Certain clauses (including disclaimers, limitation of liability, indemnity and governing law) survive termination.

15. Disclaimers

15.1 As‑is,as‑available. The Platform is provided “as is” and “as available”.

15.2 No warranties. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non‑infringement and accuracy.

15.3 No guarantee of accuracy or outcomes. We do not guarantee that summaries, transcriptions, timelines or AI output are error‑free or clinically complete.

16. Limitation of liability

16.1 Exclusion of indirect damages. To the maximum extent permitted by law, HealthPort shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages.

16.2 Third‑party medical liability excluded. HealthPort is not liable for medical negligence, malpractice, treatment decisions or provider misconduct by Third‑Party Providers.

17. Indemnity

You agree to indemnify and hold harmless HealthPort, its directors, officers, employees and agents from claims, damages, liabilities, penalties and expenses arising from:
(a) your use of the Platform;
(b) your violation of these Terms;
(c) your violation of law (including recording consent obligations);
(d) your User Content;
(e) your dealings with Third‑Party Providers.

18. Governing law and dispute resolution

18.1 Governing law. These Terms are governed by the laws of India.
